1. Introduction
These Terms of Service (the “Terms”) govern your access to and use of the websites, software, artificial-intelligence tools, integrations, and related services provided by TOFO LLC (“TOFO”, “we”, “us”, or “our”), a company based in Dubai, United Arab Emirates (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a business or other organization, you confirm that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Services.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into a binding agreement. You must provide accurate information, keep account credentials secure, and promptly notify us if you suspect unauthorized access. You are responsible for activity carried out through your account and for the actions of people you authorize to use it.
3. The Services
TOFO provides tools that help businesses create and operate AI-assisted customer experiences. Features may include conversational agents, knowledge tools, integrations, content generation, and related administration interfaces. We may improve, add, remove, or modify features over time. Material changes that significantly reduce paid functionality will be handled in accordance with any applicable order form or subscription terms.
4. Acceptable use
You must not use the Services to:
- break the law, infringe another person’s rights, or facilitate fraud or deception;
- send unlawful, abusive, discriminatory, harmful, or unsolicited content;
- introduce malware, bypass security controls, probe vulnerabilities, or disrupt the Services;
- misrepresent AI-generated material as verified fact where doing so could cause harm;
- attempt to reverse engineer or extract protected source code, models, or system instructions except where applicable law permits it; or
- use the Services to make prohibited high-impact decisions about a person without lawful authority, appropriate safeguards, and meaningful human review.
You are responsible for configuring your use of the Services, supervising your users, and ensuring that your customer-facing notices and practices comply with applicable law.
5. Your content and instructions
You retain ownership of content, data, instructions, configurations, and materials that you or your authorized users submit to the Services (“Customer Content”). You grant TOFO a limited, non-exclusive right to host, process, transmit, reproduce, and display Customer Content only as reasonably necessary to provide, secure, support, and improve the Services and to meet our legal obligations.
You confirm that you have the rights and permissions needed to provide Customer Content and instruct us to process it. You remain responsible for Customer Content, the outputs you use, and any notices or consents required from your customers, staff, or other individuals.
6. AI-generated outputs
Artificial-intelligence outputs can be incomplete, inaccurate, outdated, or unsuitable for a particular purpose. You must review outputs before relying on or sharing them and apply appropriate human judgment. The Services are not a substitute for professional legal, medical, financial, or other regulated advice. You are responsible for decisions and actions taken using an output.
7. Third-party services
The Services may connect to third-party platforms, models, applications, websites, or data sources at your direction. Third-party services are governed by their own terms and privacy practices. TOFO is not responsible for third-party services or for changes, interruptions, or losses caused by them.
8. Fees and taxes
If you purchase a paid Service, fees, billing intervals, usage limits, and renewal terms are stated in the applicable checkout, plan, proposal, or order form. Unless stated otherwise, fees are non-refundable except where required by law. You are responsible for applicable taxes other than taxes based on TOFO’s net income.
9. TOFO intellectual property
TOFO and its licensors own the Services, including software, designs, documentation, trademarks, and other materials, excluding Customer Content. Subject to these Terms and any applicable paid plan, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal business purposes. No other rights are granted by implication.
10. Privacy
Our Privacy Policy explains how we handle personal data. If TOFO processes personal data on your behalf as a service provider or processor, additional data-processing terms may apply.
11. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or use the Services in a way that could harm TOFO, our users, or others. Where reasonable, we will provide notice and an opportunity to resolve the issue. Provisions that by their nature should survive termination will remain in effect.
12. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available”. TOFO disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by applicable law, TOFO will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity. TOFO’s total liability arising from the Services will not exceed the amount you paid TOFO for the affected Services during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.
14. Indemnity
To the extent permitted by law, you will defend and indemnify TOFO and its personnel against third-party claims, damages, and reasonable costs arising from your Customer Content, your unlawful or unauthorized use of the Services, or your material breach of these Terms.
15. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law principles. Subject to any mandatory rights or procedures under applicable law, the courts of Dubai have exclusive jurisdiction over disputes arising from these Terms or the Services.
16. Changes to these Terms
We may update these Terms to reflect changes to the Services, law, or our practices. We will post the updated Terms and revise the effective date. If a change materially affects your rights, we will provide additional notice where reasonably required. Continued use after an updated version takes effect means you accept the revised Terms.
